Close a mainland or free zone company properly: resolutions notarized, the liquidator coordinated, visas cancelled and every clearance collected until the license is deregistered.

Company liquidation in Dubai is the formal closure of a company: shareholders resolve to dissolve it, a liquidator registered with the authority settles its affairs, creditors are notified, visas are cancelled and the license is deregistered. Until that happens, fines and obligations can keep running. Wordcraft does not act as liquidator; we draft and notarize the resolutions, translate them into Arabic, cancel visas and collect the clearances.

Six Steps to Close a Dubai Company

  1. Resolution. The shareholders sign a resolution to dissolve the company and appoint a liquidator, usually before a notary public.
  2. Liquidator. A liquidator registered with the authority accepts the appointment and reviews the books.
  3. Recording and notice. DET or the free zone records the liquidation, and a notice invites creditors to claim within the statutory period.
  4. Cancellations. Staff and partner visas, MOHRE work permits, the establishment card, Ejari and utilities are cancelled.
  5. Clearances. Tax deregistration, customs (for importers) and bank closure are completed, and the liquidator issues the final report.
  6. Deregistration. The authority cancels the license and issues the deregistration certificate.

Mainland and Free Zone Routes Differ

On the Dubai mainland, DET records the liquidation, the notice is published and the liquidator's final report comes before cancellation. In a free zone, the zone authority sets the sequence: a resolution, a closure request, cancellation of visas and leases, and clearance letters. Some zones also want audited accounts or a liquidator's report. The route for your authority is set out in the quote.

Why Wordcraft Is Not the Liquidator

A liquidator has to be registered with the authority and is normally an audit firm, because the role involves reviewing accounts and confirming debts. Wordcraft provides neither audit nor accounting. Our job is the paperwork around the liquidator, so owners are not chasing six departments at once.

Resolutions, Notarization and Arabic Translation

The dissolution resolution, the liquidator appointment and any POA for a shareholder abroad usually need notarization, which we book through our notary public services in Dubai; MOA changes follow the MOA amendment route. Documents not in Arabic are translated by our MOJ-certified legal translators in Dubai. A corporate shareholder abroad must have its resolution attested in its home country and at the UAE embassy there before it can be used.

Papers Needed to Start

  • Trade license, MOA and any amendments, and the establishment card
  • Passport, visa and Emirates ID copies of shareholders and the manager
  • The shareholder resolution to dissolve and appoint the liquidator
  • The liquidator's acceptance and, where required, the final report
  • A POA for any shareholder who cannot attend, notarized and attested if signed abroad

Working With Us on a Closure

  1. Send the license and a short note on your situation (staff, debts, lease) on WhatsApp; the written quote arrives within 10–30 minutes.
  2. We draft, translate and notarize the resolutions and bring in the liquidator.
  3. We file the liquidation, follow the notice period and cancel visas, permits and leases.
  4. We collect the clearances and obtain the deregistration, with every stage visible in online tracking.

Frequently Asked Questions

Can I just stop renewing my license instead of liquidating?

No. An expired license does not close the company; fines and obligations can continue, and owners may face restrictions. Formal deregistration is the safe route.

Does Wordcraft act as the liquidator?

No. The liquidator must be a registered firm, normally an audit firm. We coordinate with them and handle notarization, translation and the government steps.

Who appoints the liquidator?

The shareholders, in the dissolution resolution. The liquidator must be registered with the authority that licensed the company.

How long does company liquidation take in Dubai?

It depends on the creditor notice period, the liquidator's review and how quickly visas and clearances are completed. Your quote gives a realistic timeline once we see the company's position.

Can I liquidate while I am outside the UAE?

Often yes, through a notarized and attested power of attorney that lets a representative sign for you. We confirm what your authority accepts.

What happens to my residence visa?

Visas sponsored by the company must be cancelled or transferred before deregistration. We plan this with you so family members are not left without status.

Does the company need audited accounts to close?

Usually the liquidator prepares or reviews final accounts, and some free zones ask for audited statements. We tell you what your authority requires.

What decides the cost of a liquidation?

The liquidator's fee, the number of visas to cancel, outstanding fines and the authority's own charges. Each is listed in writing before we begin.
