Certificate of incorporation attestation in the UAE legalizes a foreign company's registration papers so that a UAE licensing authority, free zone or bank accepts that the company exists and knows who controls it. It is usually requested together with the MOA/AOA, a good standing certificate and an incumbency certificate. Wordcraft plans the whole set through registry, foreign ministry and UAE Embassy in one run, then translates it into Arabic.
The Corporate Set a UAE Branch File Usually Needs
| Document | What it proves | Typical UAE use |
|---|---|---|
| Certificate of incorporation / registration | The company legally exists | Branch or subsidiary license, corporate shareholder |
| Memorandum and articles of association (MOA/AOA) | Objects, share structure and internal rules | Licensing, bank KYC, share transfers |
| Certificate of good standing | The company is active and up to date with its registry | New licenses, bank accounts, tenders |
| Certificate of incumbency / register of directors | Who the directors, officers and shareholders are | Bank KYC, signatory checks |
Banks and licensing authorities tend to want good standing and incumbency certificates that were issued recently, so we check the dates before anything is legalized. Invoices, agency agreements and other trading papers belong on our commercial document attestation page.
Who Asks for an Attested Certificate of Incorporation
- Mainland licensing: the Department of Economy and Tourism in Dubai, or the economic department of another emirate, when a foreign company registers a branch in the UAE.
- Free zone authorities registering a branch or a corporate shareholder.
- UAE banks opening accounts for companies owned by a foreign parent.
- Share transfers and MOA changes involving a foreign corporate partner; see MOA amendments.
- Tender boards and agency registrations that need proof of the foreign principal.
Certificate of Incorporation Attestation: Registry to UAE Embassy
- The company registry issues a certified copy, or a notary certifies the document, as that country requires.
- The foreign ministry authenticates it. In apostille countries this step may be an apostille, but it does not finish the chain for UAE use.
- The UAE Embassy or Consulate in that country legalizes it, and its digital certificate already carries the UAE MOFA attestation.
A UK company, for example, orders certified copies from Companies House, has them notarized where needed, then legalized by the FCDO and by the UAE Embassy in London. Other countries have their own registry and ministry steps, which we confirm in the free quote. If you are sending UAE company papers overseas instead, see UAE trade license attestation.
Why Company Documents Get Sent Back
- The company name is written differently on the certificate, the MOA and the board resolution.
- The good standing certificate is older than the bank or authority will accept.
- A plain photocopy was notarized where the registry's certified copy was required.
- The documents carry an apostille only, with no UAE Embassy legalization.
- The MOA was sent without its later amendments.
- The person signing the board resolution does not appear on the incumbency certificate.
Arabic Translation That Matches the Trade License
Mainland authorities and many banks need company documents in Arabic. Through our legal translation service, MOJ-certified legal translators translate the certificate of incorporation, the MOA/AOA and the supporting certificates, keeping the company name, registration number and share figures the same on every page.
Frequently Asked Questions
Do I need to attest the MOA as well as the certificate of incorporation?
For most branch and subsidiary licenses, yes. Some banks only want the incorporation and incumbency certificates. We confirm the list for your authority.
Can a copy be attested instead of the original?
Normally the registry-certified or notarized copy is what gets attested. We tell you which form your country's authorities accept.
How recent must a certificate of good standing be?
Each bank and authority sets its own limit, and most prefer a freshly issued certificate. We check the issue date before legalization starts.
Is an apostille enough for a UAE branch license?
No. The UAE is outside the Hague Apostille Convention, so an apostille can only stand in for the foreign ministry step at home. The UAE Embassy still has to legalize the document.
Do mainland and free zone authorities ask for the same documents?
The core set is similar, but each authority keeps its own checklist. We compare your documents with the list of the authority that will register you.
How long does certificate of incorporation attestation take?
That turns on the issuing country's registry and ministry. You receive the expected timing in writing with the quote.
