Commercial document attestation in the UAE proves that a company document, such as a board resolution, certificate of incorporation, MOA or corporate power of attorney, is genuine and signed by people with authority to sign it. UAE registrars, banks and courts require it for foreign company papers, and foreign bodies require it for UAE ones. Wordcraft plans the route, checks the wording and handles every submission.

Company Documents That Usually Need Attestation

  • Certificates of incorporation or registration, and commercial register extracts
  • Memorandum and articles of association, together with any amendments
  • Board and shareholder resolutions, including those appointing a manager or signatory
  • Corporate powers of attorney
  • Certificates of good standing and incumbency
  • UAE trade licenses (see UAE trade license attestation)
  • Audited accounts, bank reference letters and tax residency certificates
  • Agency, distribution and other commercial agreements
  • Commercial invoices and certificates of origin

Using a Foreign Company's Documents in the UAE

A UAE registrar, free zone or notary will ask for attested parent-company papers when a foreign company opens a branch, subscribes to shares, appoints a manager or registers a trademark. The chain normally looks like this:

  1. Local certification: a notary in the company's home country certifies the document or its signatures, and the company registry or chamber of commerce adds its own certification where local rules call for it.
  2. Foreign ministry: the foreign ministry, or the authority that country designates, authenticates the notary's or registry's signature.
  3. UAE Embassy or Consulate: the UAE mission legalizes the document and, for most countries, adds the UAE MOFA attestation digitally at the same time, leaving nothing to do at MOFA after arrival.
  4. Arabic translation: most UAE licensing authorities, notaries and courts want the attested corporate document in Arabic.

First steps differ from one jurisdiction to the next (a UK resolution and a Chinese one start in different offices), so we confirm yours before anything is signed. Setting up a company as well? See our business setup services.

Sending UAE Company Documents Abroad

A foreign bank account, overseas tender, branch registration or agency appointment will often require your UAE company papers to be legalized. The authority holding the record certifies the document first: the emirate's economic department (in Dubai, the Department of Economy and Tourism) or the free zone authority, with a Chamber of Commerce certification if the destination requires one. Private documents such as board resolutions are notarized where needed. MOFA attestation then follows digitally, and the destination country's embassy in the UAE legalizes the document last.

Corporate powers of attorney are normally notarized before anything else (see power of attorney notarization). There is no apostille shortcut for UAE company papers, since the UAE sits outside the Hague Apostille Convention.

Invoices and Certificates of Origin Follow a Trade Route

Shipping documents are handled separately from company records. A commercial invoice or certificate of origin is usually certified by the chamber of commerce and then attested through MOFA's electronic channel for trade documents. Whether a shipment needs this at all depends on the buyer, the destination country and its customs rules, and your quote tells you if it applies.

Why Corporate Documents Get Sent Back

Most delays with company papers have nothing to do with the embassy. They start with the document itself:

  • The person signing a resolution or power of attorney has no authority to sign under the company's articles.
  • The company name differs, even slightly, between the resolution, the certificate of incorporation and the UAE application.
  • A good-standing certificate is older than the receiving authority will accept.
  • Signatures were never notarized, so the foreign ministry has nothing it can authenticate.
  • A power of attorney does not clearly list the acts the attorney may carry out in the UAE.

We review wording and signatures before a document goes anywhere, and can help draft resolutions and powers of attorney in a form UAE authorities recognize.

Arabic Translation for UAE Registrars and Courts

UAE notaries, courts and licensing departments work in Arabic, so an attested English, French or Chinese company document normally needs a legal translation before it is filed. Our legal translation team in Dubai (MOJ-certified legal translators) translates MOAs, resolutions and powers of attorney using UAE legal terminology, matching the attested original line by line. Originals can be handed in at any of our four offices.

Frequently Asked Questions

What does commercial document attestation involve?

It is the legalization of company papers so that another country's authorities accept them. Depending on the direction, it involves a notary or registry, the issuing country's foreign ministry and the embassy of the country where the papers will be used.

Do foreign company documents still need MOFA attestation after UAE Embassy legalization?

Usually not. For most countries the UAE mission abroad now completes the MOFA attestation digitally when it legalizes a corporate document, and we confirm this for your jurisdiction.

Must a board resolution be notarized before attestation?

In nearly all cases. The foreign ministry and the embassy authenticate the notary's or registry's seal, not the directors' own signatures, so the resolution has to be notarized or certified first.

Can we apostille UAE company documents?

No. With the UAE outside the Apostille Convention, UAE corporate documents are legalized through MOFA and then the destination country's embassy.

Will a UAE authority accept our attested company documents in English?

Some free zones do, but most mainland registrars, notaries and courts want an Arabic legal translation, which our MOJ-certified legal translators prepare.
